Terms of Service

 

The Guilde Membership Terms 

These are the terms and conditions (“Terms”) of membership with The Guilde.  These Terms are between you and The Guilde Collective, Inc., which does business as the The Guilde  (“The Guilde,” “We” or “Us”), and sets forth our respective rights and obligations related to your membership.  Your use of the theguilde.com website is also governed by the Website Terms, and all interactions with Us will be covered by our Privacy Policy.  By signing up for a membership with The Guilde, you agree to these Membership Terms, the Website Terms and the Privacy Policy.

 

Membership Benefits

Membership in The Guilde is intended to provide access to an inspired community and coworking alternative for women. As such, we offer benefits designed to bring our members solidarity and leadership development in a nurturing and collaborative environment. The following benefits are available, depending on the membership level chosen.  More details can be found on our membership page.

·      Coworking space.  Coworking locations and times may vary.

·      Access to Programming: Educational workshops, Lectures, Coaching Collective, Networking

·      Access to The Guilde Directory of Women, including a curated profile

·      Discounted admission to Annual Conference

·      Discount on Guilde Products

·      Such other benefits as may be made available from time to time

We may add, modify or eliminate any benefit or service at any time at our discretion. The Guilde does not guarantee the availability of any of its benefits and they are all subject to change at any time without notice. 

Membership Fees

The membership fee for the various levels of membership in The Guilde are stated on our membership page.  Unless otherwise stated, all membership are for an annual term and billed monthly.  In the event that you terminate membership prior to the end of your annual term, you will continue to be billed monthly for the applicable membership fee.  Annual term and auto-renewal do not apply to Coworking day passes. From time to time, we may offer different membership terms, and the fees for such memberships may vary. The membership fee is non-refundable except as expressly set forth in these Terms. Taxes may apply on the membership fee, in which case such taxes will be applied in addition to the base membership fee.

All memberships require a valid payment method for monthly billing.  If all eligible payment methods we have on file for you are declined for payment of your membership fee, you must provide us a new eligible payment method promptly or your membership will be canceled. If your membership is canceled, you will be still be liable for payment of the monthly membership fee for the remainder of your annual term.

You can change your membership level at any time.  However, any decrease to your monthly membership fee shall not be effective until your next annual renewal period.

Membership prices are subject to change at any time; provided, that price changes shall be applied at the completion of your current membership year. The Guilde will provide at least 30 days notice before enacting any changes to membership fees.

Renewal

At the conclusion of your first year of membership, and each subsequent year thereafter, your membership will automatically renew for an annual term at the then current membership fee.  UNLESS YOU NOTIFY US BEFORE YOUR ANNUAL RENEWAL DATE THAT YOU WANT TO CANCEL OR DO NOT WANT TO AUTO RENEW, YOU UNDERSTAND YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW FOR ANOTHER ANNUAL TERM (WITHOUT NOTICE TO YOU, UNLESS REQUIRED BY APPLICABLE LAW) AND WE WILL COLLECT THE THEN-APPLICABLE MEMBERSHIP FEE AND ANY TAXES, USING ANY ELIGIBLE PAYMENT METHOD WE HAVE ON RECORD FOR YOU

Limitations

  • We reserve the right to accept or refuse membership to any person in our sole discretion. 

  • We may send you email and other communications related to your membership and you agree to receive such electronic communications.

  • You may not transfer or assign your membership or any membership benefits, except as allowed in the terms of any benefit (e.g., the option to bring a friend or colleague to certain events). 

  • From time to time, The Guilde may choose in its sole discretion to add or remove membership benefits.

Termination

We may terminate your membership at our discretion without notice. If we do so, we will give you a prorated refund based on the number of days remaining in your current membership month, and you will not be charged for any subsequent periods. However, we will not give any refund, and reserve the right to collect membership fees for the remainder of your annual membership term, for termination related to conduct that we determine, in our discretion, violates these Terms, the Website Terms or any applicable law, involves fraud or misuse of your membership, or is harmful to our interests or another user. Our failure to insist upon or enforce your strict compliance with these Terms will not constitute a waiver of any of our rights.

Changes to these Terms

We may in our discretion change these Terms, the Website Terms and our Privacy Policy, or any aspect of membership, without notice to you. If any change to these terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions. YOUR CONTINUED MEMBERSHIP THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR MEMBERSHIP.

Limitation of Liability

IN ADDITION TO OTHER LIMITATIONS AND EXCLUSIONS IN THE WEBSITE TERMS, OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE MEMBERSHIP FEES YOU PAID OVER THE TWELVE MONTHS PRIOR TO ANY CLAIM. THIS LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR MEMBERSHIP.

Dispute Resolution

While we never anticipate a dispute with our members, we understand that difference may arise.  In such case, it will always be our goal to resolve any such dispute in a dignified and private manner.  Accordingly, should we be unable to resolve the dispute informally, we have chosen to utilize confidential arbitration rather than public court proceedings.

Any dispute or claim relating in any way to these Terms or your membership, or to any products or services sold or distributed by The Guilde or through theguilde.com will be resolved by binding arbitration, rather than in court.

We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration we each waive any right to a jury trial. We also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.
